BDTAX TERMS AND CONDITIONS

Thank you for selecting the Software offered by BDTax. Please review these license terms ("Agreement") thoroughly. This Agreement is a legal electronic agreement between “You” and “BD Tax Technology Limited”. BD Tax Technology Limited preserves the rights to change the license terms (“Agreement”) from time to time of its own accord without your consent. By continuing to use the website and our service you agree to be bound by the license terms (“Agreement”) to use the website and our service.

o   AGREEMENT

 

§  This Agreement, including additional terms below and any content, updates, and new releases (collectively, the “Software”), is the entire agreement between you and BDTax and replaces all prior understandings, communications and agreements, oral or written, regarding its subject matter. If any court of law, having the jurisdiction, rules that any part of this Agreement is invalid, that section will be removed without affecting the remainder of the Agreement.

 

o   LICENSE GRANT AND RESTRICTIONS

 

§  The Software is protected by copyright, trade secret, and other intellectual property laws. You are only granted certain limited rights to use the Software and BDTax Technology Limited reserves all other rights in the Software not granted to you in writing herein.

§  You acknowledge and agree that the Software is licensed, not sold. You agree not to use, nor permit any third party to use reproduce, duplicate, modify, copy, deconstruct, reverse-engineer, sell, trade, or resell the Software.

§  You acknowledge and agree to not attempt unauthorized access to any other BDTax Technology Limited that are not part of the Software.

o   YOUR PRIVACY AND PERSONAL INFORMATION

§  At BD Tax Technology Limited we place the highest importance on respecting and protecting the privacy of our customers. Our most important asset is our relationship with you. We want you to feel comfortable and confident when using our products and services and with entrusting your personal and tax return information to us. 

§  BD Tax Technology Limited will not share your personal or tax information with any other individual, company, or other organization unless obligated by law.

o   CONTENT

§  You are responsible for all materials ("Content") uploaded, posted, or stored through your use of the Software. You are responsible for lost or unrecoverable Content. BD Tax Technology Limited is not responsible for the Content or data you provide through your use of the Software.

§  You agree that BD Tax Technology Limited may use your feedback, suggestions, or ideas in any way, including in future modifications of the Software, other products or services, advertising or marketing materials.

§  BD Tax Technology Limited may, but has no obligation to, monitor content on the Software. We may disclose any information necessary to satisfy our legal obligations, protect BD Tax Technology Limited or its customers, or operate the Software properly.

o   ADDITIONAL TERMS

§  You may be offered other services, products, or promotions by BD Tax Technology Limited ("BD Tax Technology Limited Services").Additional terms and conditions and fees may apply.

§  BD Tax Technology Limited may be required by law to send you communications about the Software. You agree that BD Tax Technology Limited may send these communications to you via email or by posting them on our websites.

§  You are responsible for securely managing your password(s) for access to the Software and to contact BD Tax Technology Limited if you become aware of any unauthorized access to your account.

§  The Software may periodically be updated with tools, utilities, improvements or general updates to improve the Software. You agree to receive these updates.

o   DISCLAIMER OF WARRANTIES

§  Your use of the Software and content is entirely at your own risk except as described in this agreement. The Software is provided "as is." BD Tax Technology Limited and its affiliates and suppliers do not warrant that the Software is secure, free from bugs, viruses, interruption, errors, theft, or destruction.

§  BD Tax Technology Limited is an automated income tax calculator that follows the Income Tax Ordinance of 1984. BD Tax Technology Limited is not liable for any issues that arise due to tax miscalculation. We are highly confident in the tax accuracy of our product because it has been reviewed for accuracy by many tax lawyers and accountants, but this is ultimately still a beta product and is being tested and improved by our team and third party contributors continuously.

§  BD Tax Technology Limited, its affiliates and suppliers disclaim any representations or warranties that your use of the Software will satisfy or ensure compliance with any legal obligations or laws or regulations.

o   LIMITATION OF LIABILITY AND INDEMNITY

§  Subject to applicable law, BD Tax Technology Limited, their authorities are not liable for any types of damages. The above limitations apply even if BD Tax Technology Limited and its affiliates and suppliers have been advised of the possibility of such damages.

§  BD Tax Technology Limited reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any claims. You agree to reasonably cooperate as requested by BD Tax Technology Limited in the defense of any claims.

o   CHANGES

§  BD Tax Technology Limited reserves the right to change this Agreement at any time, and the changes will be effective when posted on our website for the Software or when we notify you by other means. We may also change or discontinue the Software, in whole or in part. Your continued use of the Software indicates your agreement to the changes.

o   TERMINATION

§  BD Tax Technology Limited may immediately, in its sole discretion, and without notice, terminate the Software if you fail to comply with this Agreement or if you no longer agree to receive electronic communications. Upon termination you must immediately stop using and delete or destroy all copies of the Software.

o   GOVERNING LAW

§  BD Tax Technology Limited follows the Bangladesh income tax law. This Ordinance may be called the Income-tax Ordinance, 1984.

o   DISPUTES

§  Any dispute or claim relating in any way to the BD Tax Technology Limited Software or this agreement will be resolved by discussion.

o   BD TAX TECHNOLOGY LIMITED SERVICES

§  BD Tax Technology Limited may provide the following or additional Services. You are responsible for providing, at your expense, any access to the Internet and any required equipment. BD Tax Technology Limited may at any time change or discontinue any aspect, availability or feature of the Services.

o   REFUND POLICY

Time limit for refund requests and grounding reasons:

§  If you have problems using BD Tax Technology Limited software to work, we will be happy to provide a full refund within 15 days of the purchase. After 15 days, no refunds will be given. You should accompany your request with detailed and grounded reasons why you apply for a refund. Please make sure your request does not contradict our Refund Policy.

Processing Refund request

§  Once we get your request, we will send you an email/call/SMS to notify you that we have received it and we will also notify you of the approval or rejection of your refund.

A. User’s responsibility

Before a refund is granted, you must allow us to try and help solve any problem faced by you in using our software. Please give it 24-48 hours for our team to get back to you to minimize your inconvenience by assisting you.

B. Illegitimate refund requests

Refunds will not be granted if you simply decide not to use our service. We stand behind our software products and will assist you in solving any problem you have, but we also expect you to adequately understand what you are purchasing and why. Refund will not be allowed for the failure of submitting tax-related documents/ express discontent with our service/ mistakenly purchase our package/ for any other reasons which are not deemed to be validated by BD Tax Technology Limited.

C. Incompatibility with third-party products or software

Please note that we do not bear any responsibility and therefore we do not satisfy any refund requests based on incompatibility of our products with some third-party or government’s software. We don’t guarantee that our products are fully compatible with any third-party programs and we do not provide support for third-party applications or websites or government’s software/ websites or any types of other software/websites. Our Support Team is always eager to assist you and deliver highly professional support in a timely manner.

Payment of refunds

§  In case your request is judged grounded, then your refund will be processed.

Late or missing refunds (if applicable)

§  If you haven’t received a refund yet, first check your bank account again. Contact your bank. There is often some processing time before a refund is posted. If you’ve done all of this and you still have not received your refund yet, please contact us at support@bdtax.com.bd

o   BD TAX TECHNOLOGY LIMITED SHALL NOT BE HELD LIABLE TO:

§  BD Tax Technology Limited's tax calculation software (bdtax.com.bd) will automatically prepare the customer's tax return based on the information provided by the customer. The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible in any way for any wrong, untrue, inconsistent, inaccurate, or undisclosed information provided by the customers if the tax return file is subjected to any audit by the tax commissioner or the National Board of Revenue or any other person or organization.

§  If the tax return file prepared by using the BD Tax Technology Limited's software and re-evaluated by the tax expert of BD Tax Technology Limited comes under the audit of the tax commissioner or the National Board of Revenue or any other person or organization due to any inconsistency with the information in the previous tax return file, then the authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible.

§  If the customer fails to provide any proof or documents to the authority of BD Tax Technology Limited or any of its employees based on the information provided by the customer for re-evaluation or submission or preparation of the tax return file and therefore, if the tax return file is subjected to any kind of audit by the tax commissioner or the National Board of Revenue or any other person or organization, then the authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible in any way.

§  The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible if the tax commissioner or the National Board of Revenue, or any other person or organization brings the return file under audit.

§  If any customer changes any of the information/evidence/documents provided by the customer at the end of the process of re-evaluation or submission or preparation of tax return file by BD Tax Technology Limited’s employees and for this reason, if the tax return file comes under audit by the tax commissioner or the National Board of Revenue or any other person or organization, then the authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible in any way.

§  The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible if the customer's tax return file is selected for audit by the tax commissioner or the National Board of Revenue, or any other person or organization because of the intentional or unintentional misrepresentation of the information for the preparation of the tax return file in any income tax form using the software.

§  The customer will be given tax advice based on the information received from the customer. The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible for any intentional or unintentional misrepresentation of customer information or for any other reasons for the inaccuracy of the tax advice for which audit is conducted by the tax commissioner or the National Board of Revenue or any other person or organization.

§  For any reason, if the customer fails to accept the acknowledgment slip from the address provided by the customer, then the authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible for the failure to accept the acknowledgment slip by the customer. Subsequently, the customer has to collect the acknowledgment slip from the office of BD Tax Technology Limited. The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible for any loss or failure to provide the acknowledgment slip to the customer due to any other reasons.

§  If the customer matches the shortage of fund by using the general guideline provided by software/blog without knowing the compliance of their financial situation and the general guideline for which if the tax return file comes under the audit by the tax commissioner or the National Board of Revenue or any other person or organization, then the BD Tax Technology Limited or any of its employees who worked, work and will work here shall not be held responsible.

§  If the customers fill up their “Shortage of Fund” by using the general guideline of “Shortage of Fund” provided by software/blog and if the general guideline of “Shortage of Fund” is not applicable for the financial condition of the customers' tax file or for any other reasons if the general guideline of “Shortage of Fund” is not eligible for customers’ tax return file, then the authority of BD Tax Technology Limited or any of its employees who worked, work and will work here shall not be held responsible in any way when the tax file is subjected to audit by the appropriate authority.

§  If a customer purchases the review or submission package, he/she will get 15 working days to complete his/her review with the help of the tax expert. If a customer purchases the tax return preparation package (Data input package), he/she will get 15 working days to submit his/her documents and complete his/her tax return file by the employees of BD Tax Technology Limited. If a customer is not able to complete the process within the designated time period, then BD Tax Technology Limited’s authority or any of its employees shall preserve all the rights to cancel his/her package without any refund with/ without his/her consent.

§  If a customer wants to show his undisclosed assets in his income tax return, he/she has to do so by paying tax at the rate prescribed by the NBR for displaying undisclosed assets as per the Income Tax Ordinance 1984 19AAAAA. The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible if the customer does not comply with the Income Tax Ordinance 1984 19AAAAA.

§  The authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible if any employee or company provides any incorrect information during the preparation of the Statement on Return of Employees under Section 108A of the Income Tax Ordinance, 1984 (XXXVI of 1984).

§  If the customer has purchased the tax return preparation package (data input package) then the tax return file will be prepared based on the information and documents provided by the customer. If there is any intentional or unintentional error in the information provided by the customer or in the previous tax return file or anything else due to which the tax return file prepared by the employees of BD Tax Technology Limited becomes incorrect and for this or any other reason if the tax return file comes under audit performed by the deputy tax commissioner or the National Board of Revenue or any other person or organization, then the authority of BD Tax Technology Limited or any of its employees who worked, work and will work here shall not be held liable.

§  If the client's tax return file comes under audit, the client can take our assistance for which additional fees will be applicable. An additional fee will vary on the case-to-case basis of the tax return file.

§  If any client wants to obtain the tax certificate, he/she has to bear all the costs of obtaining the tax certificate. This additional cost is not included in the package price and will vary on the case-to-case basis of the tax return file.

§  In the mobile application, clients will only fill their personal information, know about tax owed (only based on the tax information given in website), make payment for packages & upload documents (not available for standard & simple package), download acknowledgment slip (only for Premium Plus & Prime Plus packages), but no other activities & calculation related activities of the income tax return can be done in the mobile phone application. If any client misunderstands the utilities of the mobile phone application for which his/her file falls under the audit of NBR and then claims any refund or payment, then the authority of BD Tax Technology Limited or any of its employees who worked, work, and will work here shall not be held responsible. And no refund & payment request shall be met.

o   Company (108A):

The following points are specific to any company that comes into an agreement with BD Tax Technology Limited. But the whole MoU and the whole terms and conditions will be applicable and enforced by BD Tax Technology Limited where they are deemed necessary as determined by the authority of BD Tax Technology Limited and its employees.

1. Account Registration:

§  To use our software for tax return preparation, companies have to register/create an account where they have to provide all the required data in a truthful manner. Failure to provide the correct and complete information will cause the unavailability/incomplete service. Companies are solely responsible for keeping their login credentials confidential and safe, even if the BD Tax Technology Limited registers & creates the account on behalf of the companies as per the request of the particular company.

For this reason, companies are also required to choose passwords that meet the highest standards of strength and the requirements given on the website. By registering, companies agree to be fully responsible for all activities under their username and password. Companies are solely responsible for providing organization profile information and any other information keeping credentials confidential and safe, even if the BD Tax Technology Limited fills up information on behalf of the companies as per the request of the particular company.

2. Account Termination/Deletion:

§  Companies cannot terminate their accounts of their own accord. The authority of BD Tax Technology Limited and its employees reserves the right, at their sole discretion, to terminate/delete companies' accounts at any time and without notice, given that the company discontinued the agreement with BD Tax Technology Limited. Upon the company's request, BD Tax Technology Limited will allow the termination/deletion of the company account; in such case, the company shall not avail the benefit of 108A tax return preparation. But the information of the company's employees will remain so that the employees of that company can enjoy the latest services from their user accounts. The company cannot provide any restrictions to their employees to use our software to prepare their tax return files as individual clients.

If employees resign from the company, BD Tax Technology Limited will remove that employees' information upon that company's request. But the employees' data will remain in such a manner so that they can use the full service of any individual paid package. The company may also be able to remove that employees' information by itself. But the employees' data will remain in such a manner so that they can use the full service of any individual pad package. The termination/deletion of companies' accounts shall not entitle companies/users to any compensation, damages, or reimbursement claims. The termination/deletion of an account due to causes attributable to the company does not exempt the user from paying applicable fees or prices.

3. Information Security & Technical Assistance Support:

§  BD Tax Technology Limited will secure the information with its utmost efforts. BD Tax Technology Limited shall deploy its available resources to rescue and safeguard the data from any data breach. BD Tax Technology Limited will provide technical assistance for issues that are deemed to be reasonable.

4. Acceptable Terms of Use:

§  The company or its employees are solely responsible for ensuring that the information provided or documents uploaded are accurate and complete to the best of their knowledge. The company or its employees are solely responsible for any events resulting from any misleading/incomplete/inaccurate information.

The company or its employees provide relevant and required documents & information based on which the tax consultant of BD Tax Technology Limited will prepare the employees` income tax return file. After submitting the tax return file, BD Tax Technology Limited will upload the acknowledgment slip of the submitted tax return file as per the agreement. BD Tax Technology Limited will upload the acknowledgment slip only if the employees or company comes under the full-service agreement. BD Tax Technology Limited will not accept any responsibility for uploading the acknowledgment slip if the employees take any other packages. The company shall receive the 108A tax return, which will contain only information for employees whose acknowledgment slips are uploaded.

The company or its employees shall be solely responsible for any events arising from failing to upload the acknowledgment slip within the designated time. The company or its employees shall be solely responsible for any events arising from any issues related to the past tax return of the employees.

The company or the employees shall be solely responsible for bringing the attention of the tax consultant to any errors, omissions or inaccuracies in the tax return. The company or the employees shall be solely responsible for any event or consequential loss suffered by the clients, whether caused by any action of the authority of BD Tax Technology Limited or its employees who worked, will work and work. The authority of BD Tax Technology Limited and any of its employees who worked, work & will work here shall not be liable for any delay or failure in performing any services if the delay or failure was due to any cause beyond our reasonable control.

BD Tax Technology Limited team will upload the acknowledgment slip to the employees' accounts and send the hard copy of the acknowledgement slip to the addresses confirmed by the employees. The service will be completed after delivering the acknowledgment slip.

If employees fail to receive acknowledgment slips, they can contact the BD Tax Technology Limited team for further information & assistance. The third parties who deliver the acknowledgement slip are solely responsible for any physical damages to the acknowledgement slip. BD Tax Technology Limited shall not provide the tax certification within its full package service scope. If any employee wants to receive the tax certificate, BD Tax Technology Limited will arrange to provide the tax certificate for which an additional charge shall be applicable based on the income tax return file. The employer/employee shall carry this additional charge.

If employees' income tax return comes under audit & they seek assistance from BD Tax Technology Limited, then BD Tax Technology Limited will assist - Audit, Appeal, Tribunal, ADR & High Court related issues for their income tax return. This service can be avail in exchange for additional fees, which the employer/employee shall carry.

o   Mobile Phone Application:

The following points are applicable not only for the mobile phone application but also for the website, where enforcement of these points is possible and necessary as determined by the authority of BDTax and its employees.

1. Account Registration:

§  To use our software for tax return preparation, users have to register/create an account where they have to provide all the required data in a truthful manner. Failure to provide the correct and complete information will cause the unavailability/incomplete service. Users are solely responsible for keeping their login credentials confidential and safe. For this reason, users are also required to choose passwords that meet the highest standards of strength and the requirements given on the website. By registering, users agree to be fully responsible for all activities under their username and password.

2. Account termination/deletion:

§  Users cannot terminate their accounts of their own accord. The authority of BDTax and its employees reserves the right, at their sole discretion, to terminate/delete users' accounts at any time and without notice. The termination/deletion of users' accounts shall not entitle users to any compensation, damages, or reimbursement claims. The termination/deletion of an account due to causes attributable to the user does not exempt the user from paying applicable fees or prices.

3. Acceptable use:

§  Users shall not make the application available to third parties to sell, rent, lend, lease, or redistribute. Users shall not modify the application in any circumstances. The authority of BDTax and its employees who worked, work & will work here shall not be held responsible for any damages to the user's devices due to any modification of the mobile application. Users must not alter, reverse engineer, disassemble, integrate, decompile, integrate, remove, modify, combine, create derivative works or updates, adapt or attempt to derive the application's source code or any part thereof.

Users must not attempt to disrupt or tamper with the technical infrastructure in a manner that harms the website and mobile application. Users must not use the website and mobile application in abusive, excessive or otherwise inappropriate ways. Users are recommended to use the latest firmware version to enjoy the latest features. The users have to confirm that the device they intend to use the application meets any technical specifications. The authority of BDTax and its employees shall preserve the rights to modify the technical specification as they see appropriate.

Users have to give access to the gallery, camera, and file manager of the device to upload their documents through the application. The authority of BDTax and its employees shall not be held liable if the users fail to do so. Users are required to back up all their uploaded & sent documents. Users will not get the web version in the mobile application. Users have to keep in mind that the mobile application will serve to ease the process of uploading the documents, preparing the tax return file & receiving acknowledgment slips. These options are also available on the website.

Users are solely responsible for ensuring that their use of this website and mobile application violates no applicable law, regulations or third-party rights.

Users must confirm that they are legally allowed to upload the documents by uploading the documents. Users must allow the authority of BDTax and its employees to prepare the tax return by using those documents. The authority of BDTax holds and reserves all intellectual property rights for the mobile application and website. Any violation of the terms & conditions allows the authority of BDTax and its employees to take action.

4. API usage terms:

§  The users expressly understand & agree that the authority of BDTax & its employees who worked, work & will work here bear no responsibility and shall not be held liable for any damages or losses resulting from the users' use of the API or their use of any third-party products/services that access data through the API.

5. Usage rights of full/paid services:

§  Users are not entitled to receive any rights to use the full/paid services until the authority of BDTax and its employees do not receive the total package price.

6. Performance of services:

§  The purchased service shall be performed within the timeframe specified on this website, or the employers of BDTax shall determine the time frame.

7. Processing of information & documents:

§  Users have to acknowledge and accept that their given/uploaded personal information and documents shall be processed/used on their behalf by the employees of BDTax to prepare their individual income tax returns.
